These Terms and Conditions ("Terms") govern your access to and use of Formbase's form submission service. By accessing or using Formbase, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

Definitions

• "Service" refers to Formbase's form submission and processing platform, including all features and functionalities
• "User" or "you" means the individual or entity using the Service
• "Account" means your registered Formbase account
• "Content" includes forms, submissions, data, and any materials you process through the Service

Account Registration and Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use Formbase. When creating an account, you must provide accurate, complete, and current information.

You are responsible for maintaining the confidentiality of your account credentials and API keys, and for all activities that occur under your account. Notify us immediately of any unauthorized access or security breaches.

Service License and Usage Rights

Formbase grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for processing form submissions during your subscription term. You may not reverse engineer, copy, modify, distribute, sell, or lease any part of the Service.

Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Transmit malicious code, viruses, or harmful content
• Collect or harvest user data without proper consent
• Engage in spamming or unsolicited marketing activities
• Impersonate any person or entity
• Exceed rate limits or abuse API endpoints
• Process illegal, offensive, or harmful content

Subscription and Billing

Subscription fees are billed in advance on a monthly or annual basis depending on your selected plan. All fees are non-refundable unless otherwise specified in our refund policy.

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. We reserve the right to modify pricing with 30 days' notice to existing subscribers.

Data and Privacy

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect your data. You retain ownership of all form submissions and data processed through your account.

You are responsible for obtaining necessary consents from form respondents and complying with applicable data protection laws including GDPR, CCPA, and other relevant regulations.

Service Availability and Limitations

We strive to provide reliable service with high uptime but do not guarantee uninterrupted or error-free operation. We reserve the right to impose usage limits, including submission quotas and rate limits based on your plan.

We may modify, suspend, or discontinue any aspect of the Service with reasonable notice. We are not liable for any service interruptions, data loss, or damages resulting from service unavailability.

Intellectual Property

All rights, title, and interest in the Service, including all software, designs, trademarks, and documentation, are owned by Formbase. You retain all rights to your submitted content and data.

Termination

You may cancel your account at any time through your account settings or by contacting support. We may suspend or terminate your access immediately if you breach these Terms or engage in prohibited activities.

Upon termination, your right to use the Service ceases immediately. We will retain your data for a reasonable period as specified in our Privacy Policy, after which it may be permanently deleted.

Limitation of Liability

To the maximum extent permitted by law, Formbase shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

Indemnification

You agree to indemnify and hold Formbase harmless from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Your continued use after changes take effect constitutes acceptance of the revised Terms.

Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the jurisdiction where Formbase is registered, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall first be resolved through good faith negotiation. If unresolved, disputes shall be settled through binding arbitration on an individual basis.
